Terms of Service

Welcome to Cities. These Terms of Service (“Terms”) govern your access to and use of the Cities mobile application, website, and all related services (collectively, the “Service”) operated by Cities (“we”, “us”, or “our”). By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old to use Cities. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these requirements and that the information you provide to us is accurate, current, and complete.

2. Account Registration

To access most features of the Service, you must create an account. You agree to:

  • Provide accurate, complete, and up-to-date registration information.
  • Maintain the security of your account credentials and not share your password with any third party.
  • Promptly notify us at support@cittis.cc if you become aware of any unauthorised use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent or harmful.

3. The Cities Service

Cities is a community platform that enables users to connect with neighbours, discover and transact with local businesses, share content, participate in community discussions, and access financial tools including a digital wallet. Specific features include:

  • Community Feed: Post updates, photos, videos, and stories visible to your community.
  • Marketplace: List items for sale or purchase goods from other users and local businesses.
  • Digital Wallet: Send, receive, and manage funds within the Cities ecosystem.
  • Business Directory: Discover and engage with verified local businesses.
  • Messaging: Communicate privately with other users in real time.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. User Content

You retain ownership of any content you post on Cities (“User Content”). By posting User Content, you grant Cities a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, display, and perform that content in connection with operating and improving the Service.

You represent and warrant that your User Content:

  • Does not infringe any third-party intellectual property, privacy, or publicity rights.
  • Does not contain unlawful, defamatory, harassing, abusive, obscene, or otherwise objectionable material.
  • Does not include spam, malware, or any content intended to deceive or mislead others.
  • Complies with all applicable laws and regulations.

We reserve the right to remove any User Content that violates these Terms or that we deem harmful to the community, without prior notice.

5. Prohibited Conduct

When using Cities, you agree not to, directly or indirectly:

  • Harass, bully, threaten, or intimidate other users or businesses.
  • Post false, misleading, or fraudulent information or listings.
  • Attempt to gain unauthorised access to any part of the Service or another user's account.
  • Use automated tools (bots, scrapers, crawlers) to access or collect data from the Service without our express written permission.
  • Engage in money laundering, fraud, or any illegal financial activity through the wallet or marketplace.
  • Impersonate any person, business, or entity, or misrepresent your affiliation with any person or entity.
  • Transmit any viruses, malicious code, or other harmful software.
  • Circumvent, disable, or interfere with security features of the Service.
  • Use the Service for any commercial purpose not expressly permitted by these Terms or by our prior written consent.

Violation of these prohibitions may result in immediate suspension or termination of your account and, where appropriate, referral to law enforcement.

6. Marketplace Transactions

Cities provides a platform for users to buy and sell goods and services. Cities is not a party to any transaction between buyers and sellers. You acknowledge that:

  • Sellers are solely responsible for the accuracy of their listings and the delivery of goods or services.
  • Buyers are responsible for conducting due diligence before completing any purchase.
  • Cities does not guarantee the quality, safety, legality, or availability of items listed on the marketplace.
  • Any dispute arising from a transaction must be resolved between the parties involved; however, Cities may, at its sole discretion, offer dispute resolution assistance.

Listing or purchasing prohibited items (including, but not limited to, illegal goods, weapons, counterfeit products, or controlled substances) is strictly forbidden and will result in immediate account termination.

7. Digital Wallet and Payments

Cities offers a digital wallet feature that allows you to store value and make payments within the platform. By using the wallet, you agree to:

  • Provide accurate financial and identity information as required for verification.
  • Use the wallet only for lawful purposes and in accordance with applicable financial regulations.
  • Acknowledge that wallet balances are not bank deposits and are not insured by any government deposit insurance scheme.
  • Accept that Cities may place holds on, suspend, or reverse transactions where we suspect fraud, money laundering, or other unlawful activity.

We reserve the right to impose transaction limits, fees, or other restrictions on wallet use at any time, with reasonable notice where practicable.

8. Intellectual Property

All content, features, and functionality of the Service (excluding User Content), including but not limited to text, graphics, logos, icons, images, software, and the overall “look and feel”, are owned by Cities or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

“Cities” and all related logos and product names are trademarks or registered trademarks of Cities. Nothing in these Terms grants you any right to use our trademarks without our prior written consent.

9. Privacy

Your privacy matters to us. Our Privacy Policy describes how we collect, use, and share information about you when you use the Service. By using Cities, you agree to our collection and use of your information as described in the Privacy Policy.

10. Third-Party Services and Links

The Service may contain links to, or integrate with, third-party websites or services that are not owned or controlled by Cities. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. We encourage you to review the terms and privacy policies of any third-party services you access.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CITIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF CITIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CITIES' TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Cities and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. You may terminate your account at any time by contacting us at support@cittis.cc.

Upon termination, all licences granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including sections on intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, for material changes, provide notice through the Service (such as an in-app notification or email). Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved amicably shall be submitted to binding arbitration in accordance with the rules of a recognised arbitration body, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
